2. Nature of Business

Terrashoppy is a multi-vendor digital commerce platform that enables:

·         Sellers to list and sell products,

·         Agents to refer customers and earn commissions based on eligible purchases,

·         Customers to purchase products through the Platform.

The Company acts as a facilitator and administrator and does not directly manufacture products unless explicitly stated.

3. Eligibility

To use this Platform:

·         You must be at least 18 years of age,

·         You must provide accurate and complete registration information,

·         You must comply with all applicable laws and regulations.

The Company reserves the right to suspend or terminate accounts that violate these Terms.

4. User Accounts

·         Users are responsible for maintaining the confidentiality of their login credentials.

·         Any activity conducted through a registered account shall be deemed authorized by the account holder.

·         The Company is not liable for unauthorized access due to user negligence.

5. Agent Program & Commission Policy

5.1 Agent Role

·         Agents may refer customers using approved referral mechanisms.

·         Agents do not represent the Company as employees or legal partners.

5.2 Commission Structure

·         Commissions are calculated based on successful and completed purchases made by referred customers.

·         The Company reserves the right to modify commission rates, structures, and eligibility criteria at any time.

·         Commissions may be subject to verification, minimum thresholds, deductions, or clawbacks in case of refunds, cancellations, or fraud.

5.3 Payment of Commissions

·         Commission payouts are processed as per the Company’s payment cycle.

·         Agents are responsible for applicable taxes on earnings.

6. Seller Responsibilities

·         Sellers are solely responsible for product quality, descriptions, pricing, legality, warranties, and delivery.

·         Sellers must comply with all applicable laws, including consumer protection and taxation laws.

·         The Company reserves the right to remove any listing or suspend sellers violating policies.

7. Orders, Payments & Pricing

·         All prices are subject to change without prior notice.

·         Payments must be made through authorized payment gateways only.

·         The Company is not responsible for payment gateway failures beyond its control.

8. Returns, Refunds & Cancellations

·         Return and refund policies are governed by Seller-specific terms unless otherwise stated.

·         Commission earned on refunded or cancelled orders may be reversed.

·         The Company reserves the final authority to resolve disputes related to refunds.

9. Prohibited Activities

Users shall not:

·         Engage in fraudulent, misleading, or deceptive practices,

·         Manipulate referrals, commissions, or transactions,

·         Upload illegal, harmful, or infringing content,

·         Attempt to harm, hack, or disrupt the Platform.

Violation may result in immediate termination and legal action.

10. Intellectual Property

All content, branding, logos, software, and materials on the Platform are the intellectual property of the Company or its licensors.
Unauthorized use is strictly prohibited.

11. Limitation of Liability

To the maximum extent permitted by law:

·         The Company shall not be liable for indirect, incidental, or consequential damages,

·         The Company does not guarantee uninterrupted or error-free service,

·         The Company is not liable for Seller actions or product defects.

12. Indemnification

You agree to indemnify and hold harmless the Company, its directors, employees, and partners from any claims, losses, or damages arising from your use of the Platform or violation of these Terms.

13. Termination

The Company reserves the right to suspend or terminate access to the Platform without prior notice for violation of these Terms or applicable laws.

14. Governing Law & Jurisdiction

These Terms shall be governed by the laws of India.
All disputes shall be subject to the exclusive jurisdiction of the courts located in India.
